Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the UnitySphere platform, website, and related services (collectively, the "Services") provided by UnitySphere AS, a company registered in Denmark with registration number CVR25367481 ("UnitySphere", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and UnitySphere. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Description of Services

UnitySphere provides a comprehensive restaurant customer experience management platform designed to help restaurants, cafés, and other hospitality businesses streamline operations, enhance guest satisfaction, and improve overall business performance.

Our Services include but are not limited to:

  • Customer experience management tools
  • Reservation and table management systems
  • Guest feedback collection and analysis
  • Restaurant analytics and reporting
  • Staff management and scheduling tools
  • Integration capabilities with third-party systems
  • Technical support and customer assistance

User Accounts and Registration

To access certain features of our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful and accurate information during registration
  • Keep your account information up to date
  • Maintain the security of your login credentials
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activities under your account

User Obligations

When using our Services, you agree to comply with all applicable laws, regulations, and these Terms. You shall not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Use the Services to compete with UnitySphere or develop competing products
  • Violate the privacy or rights of other users or third parties
  • Engage in any activity that could damage our reputation or business interests

Payment Terms

If you subscribe to our paid Services, you agree to pay all applicable fees as described in your chosen pricing plan. Payment terms include:

  • Fees are charged in advance on a recurring basis (monthly or annually)
  • All payments are non-refundable except as expressly stated in these Terms
  • We may change our pricing with 30 days' written notice
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for all taxes associated with your use of the Services

Intellectual Property

The UnitySphere platform, including all software, content, designs, graphics, text, and other materials, is owned by UnitySphere and protected by intellectual property laws. We retain all rights, title, and interest in our platform and Services.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use our Services for your business purposes. This licence does not include the right to:

  • Modify, copy, or create derivative works of our platform
  • Distribute, sell, or sublicense access to our Services
  • Use our trademarks, logos, or brand elements without permission
  • Access our platform for competitive analysis or product development

You retain ownership of any data, content, or materials you upload to our platform ("User Content"). By using our Services, you grant us a licence to use, store, and process your User Content solely for the purpose of providing our Services.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our privacy practices as described in our Privacy Policy.

You are responsible for ensuring that any personal data you provide to us or process through our platform complies with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Service Availability and Modifications

We strive to provide reliable and consistent access to our Services, but we cannot guarantee uninterrupted availability. We may occasionally experience downtime for maintenance, updates, or technical issues.

We reserve the right to:

  • Modify, update, or discontinue any aspect of our Services
  • Implement new features or change existing functionality
  • Suspend Services for maintenance or security purposes
  • Update these Terms as necessary for legal or business reasons

Limitation of Liability

To the maximum extent permitted by applicable law, UnitySphere shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services.

Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless UnitySphere, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of our Services in violation of these Terms
  • Your User Content or any data you process through our platform
  • Your violation of any applicable laws or third-party rights
  • Any negligent or wrongful conduct in connection with our Services

Termination

Either party may terminate these Terms at any time with or without cause. Upon termination:

  • Your right to access and use our Services will immediately cease
  • We may delete your account and associated data after a reasonable period
  • You remain liable for any outstanding fees or obligations
  • Provisions that by their nature should survive termination will remain in effect

We may suspend or terminate your access to our Services immediately if you breach these Terms or engage in conduct that we determine to be harmful to our business or other users.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Denmark, and you hereby consent to the personal jurisdiction and venue therein.

If you are a consumer residing in the European Union, you may also have rights under your local consumer protection laws.

Dispute Resolution

Before initiating any formal legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with our customers to find fair and reasonable solutions to any issues that may arise.

For disputes that cannot be resolved through direct communication, both parties agree to attempt resolution through good faith negotiations before pursuing litigation.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and UnitySphere regarding the use of our Services and supersede all prior or contemporaneous understandings and agreements.

Updates to Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. When we make changes, we will update the "Last updated" date and notify you through our platform or by email.

Your continued use of our Services after such changes constitutes your acceptance of the updated Terms. If you disagree with any changes, you may terminate your account and discontinue use of our Services.
